Terms of Service

1. Acceptance of Terms

By creating an account and using Tag Companion ("the Service"), you agree to these Terms of Service ("Terms"). If you don't agree, please don't use the Service.

We reserve the right to update these Terms at any time. Continued use of the Service after changes means you accept the updated Terms.

2. Service Description

Tag Companion is a web-based tool that generates Google Tag Manager (GTM) templates through point-and-click interfaces. The Service provides:

• A Website Helper (SDK) for element selection
• Dashboard tools for configuring tracking events
• GTM container template generation and download
• Documentation and email support

What we don't provide: GTM hosting, Google Analytics accounts, website development, or tracking implementation on your website. Tag Companion generates templates; you must import them into your own GTM account.

3. Account Responsibilities

When you create an account, you agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Use the Service only for lawful purposes
• Have legitimate access to the GTM accounts and websites you configure
• Not share your account with others
• Notify us immediately of any unauthorized account access

You are responsible for all activity that occurs under your account.

4. Subscriptions & Billing

Free Plan

Our Free plan is available indefinitely with no credit card required. We may change or discontinue the Free plan features at any time.

Paid Plans

• Billing: All payments are processed securely through Stripe. By subscribing, you authorize recurring charges to your payment method.
• Pricing: Current pricing is displayed on our pricing page. Founder's pricing is locked for life if you subscribe during the promotional period.
• Renewals: Subscriptions auto-renew until you cancel.
• Cancellation: Cancel anytime from your dashboard with one click. No questions asked. You'll retain access until the end of your current billing period.
• Failed Payments: If a payment fails, we'll attempt to charge your card again. Continued payment failures may result in service suspension.

7-Day Pass

One-time payment for 7 days of Pro access. No auto-renewal. Access expires after 7 days.

5. Intellectual Property & Ownership

Tag Companion Platform

Tag Companion (the software, website, SDK, documentation, and all related intellectual property) is owned by us. You receive a limited, non-exclusive, non-transferable license to use the Service during your subscription.

Restrictions

You may not:

• Reverse engineer, decompile, or disassemble the Service
• Copy, modify, or create derivative works of the platform
• Resell or redistribute access to Tag Companion
• Remove any proprietary notices from the Service

6. Acceptable Use Policy

You agree not to use Tag Companion to:

• Track websites you don't own or have permission to track
• Violate any laws or regulations
• Collect sensitive personal information without proper consent
• Generate malicious code or tracking implementations
• Abuse, harass, or harm others
• Interfere with the Service's operation or security
• Use automated tools to scrape or abuse the Service

Violation of this policy may result in immediate account termination without refund.

7. Service Limitations & Disclaimers

No Uptime Guarantee

We strive for high availability but don't guarantee uninterrupted service. We may perform maintenance, updates, or experience downtime.

Compatibility

Tag Companion works best with standard marketing websites, landing pages, and eCommerce sites. It's not recommended for complex Single-Page Applications (SPAs) with React, Vue, or Angular frameworks.

No Tracking Guarantee

While we generate valid GTM templates, we cannot guarantee they will work perfectly on every website. Tracking depends on your website's structure, GTM configuration, and GA4 setup (factors outside our control).

Beta Features

Some features may be labeled as "beta" or "experimental." These features may be incomplete, contain bugs, or be discontinued at any time.

8. Limitation of Liability

The Service is provided "as is" without warranties of any kind.

To the maximum extent permitted by law:

• We are not liable for any indirect, incidental, or consequential damages
• We are not liable for lost revenue, lost conversions, or inaccurate tracking
• We are not liable for data loss, though we recommend backing up your projects
• Our total liability is limited to the amount you paid us in the past 12 months

Some jurisdictions don't allow liability limitations, so these may not apply to you.

9. Termination

By You

You can cancel your subscription or delete your account anytime from your dashboard. Your data will be removed from our servers.

By Us

We may suspend or terminate your account if:

• You violate these Terms
• Your payment fails repeatedly
• You engage in fraudulent activity
• We discontinue the Service (with reasonable notice)

Termination for Terms violations will result in no refund. You may be banned from creating future accounts.

10. DMCA & Copyright

If you believe content on Tag Companion infringes your copyright, contact us at contact@tagcompanion.com with details of the alleged infringement.

11. Governing Law & Disputes

These Terms are governed by the laws of Canada/United States (depending on incorporation status) without regard to conflict of law principles.

Any disputes will be resolved through binding arbitration or in the courts located in our jurisdiction, and you consent to personal jurisdiction there.

12. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and Tag Companion
• Severability: If any provision is found invalid, the rest remains in effect
• No Waiver: Our failure to enforce a right doesn't waive that right
• Assignment: You can't transfer your account. We can assign our rights to a successor
